Referral Partner Terms and Conditions

1. Introduction

These Referral Partner Program Terms and Conditions (“Agreement”) govern participation in the referral partner program offered by SystemTech Service Solutions (“Company”, “we”, “our”, or “us”).

By participating in the program, the Referral Partner (“Partner”, “you”, or “your”) agrees to comply with these terms and conditions.

2. Purpose of the Program

The purpose of this program is to reward individuals or businesses that refer potential clients to the Company for services including but not limited to:

Website Design & Development
Web Hosting & Domain Registration
Software Development
Digital Marketing Services
Mobile Application Development
Business Registration Services
IT Consultancy and Related Services

3. Eligibility

Any individual, freelancer, consultant, agency, or business entity may apply to become a referral partner.
The Company reserves the right to approve or reject any application without assigning any reason.
Referral Partners must provide accurate and complete information during registration.

4. Referral Process

A referral shall be considered valid only when the referred client is introduced through approved communication channels of the Company.
The Partner must provide sufficient client details including name, contact number, email address, and service requirement.
Existing clients or leads already in discussion with the Company shall not qualify as valid referrals.

5. Referral Commission

The Partner shall receive a commission on successful sales generated from referred clients.
Commission percentages or fixed amounts shall be communicated separately by the Company and may vary depending on the service or project value.
Commission shall be payable only after:
- Full or agreed payment is received from the client by the Company.
- The project/service has officially commenced or been delivered.

6. Payment Terms

Referral commissions shall generally be processed within 7 to 30 business days after receipt of client payment.
Payments may be made through bank transfer, UPI, or any other approved payment method.
The Partner shall be responsible for providing correct payment details.

7. No Employment Relationship

Participation in this program does not create any:

Employment relationship
Partnership
Joint venture
Agency relationship

between the Company and the Referral Partner.

The Partner acts as an independent entity.

8. Partner Responsibilities

The Referral Partner agrees:

Not to make false claims or misleading commitments on behalf of the Company.
Not to misuse the Company’s brand name, logo, or marketing materials without written permission.
To maintain professional and ethical conduct while promoting Company services.

9. Confidentiality

Any business, pricing, customer, or operational information shared with the Partner shall be treated as confidential and shall not be disclosed to any third party without written consent from the Company.

10. Intellectual Property

All trademarks, logos, content, designs, and materials belonging to the Company remain the exclusive property of the Company.

The Partner shall not reproduce, modify, or distribute Company materials without authorization.

11. Fraudulent or Unethical Activity

The Company reserves the right to:

Reject referrals
Cancel commissions
Terminate participation

if any fraudulent, unethical, misleading, spam, or illegal activity is detected.

12. Termination

Either party may terminate participation in the referral program at any time by written notice.

The Company reserves the right to suspend or terminate any Partner account without prior notice in case of violation of these terms.

13. Limitation of Liability

The Company shall not be liable for:

Indirect or consequential losses
Loss of profits
Business interruption
Any damages arising from participation in the referral program

14. Modification of Terms

The Company reserves the right to update or modify these Terms and Conditions at any time without prior notice.

Continued participation in the program after modifications shall constitute acceptance of the revised terms.

15. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of India.

Any disputes arising under this Agreement shall be subject to the jurisdiction of the competent courts in Nagaland, India.
